Terms of Service

By creating an account, joining the waitlist, or using any part of the Eleviq Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a binding agreement between you ("User", "you") and Eleviq BV ("Eleviq", "we", "our", "us"), a company incorporated under the laws of the Netherlands.

Users must be at least 18 years old or have the legal capacity to enter into contracts in their jurisdiction. By using the Service, you represent that you meet this requirement.

Eleviq provides an AI-powered business workspace ("Platform") that includes specialist AI agents (Strategy, Content, Marketing, Research, Tech), a BusinessProfile system, a Decisions Log, and related features. Eleviq also provides agency growth services under separate service agreements ("Agency Services").

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice, except where immediate action is required for legal or security reasons.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate, current, and complete information
• Notify us immediately of any unauthorised access to your account
• Not share your account with others or create accounts for third parties without authorisation
• Not create multiple accounts to circumvent usage limits or restrictions

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Generate, distribute, or publish content that is unlawful, harmful, defamatory, or fraudulent
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use automated tools to scrape, crawl, or extract data from the Service without authorisation
• Circumvent rate limits, access controls, or security features
• Use the AI agents to generate content that spreads disinformation or facilitates harm
• Resell or commercially exploit the Service without our prior written consent

We reserve the right to remove content and suspend accounts that violate this acceptable use policy without prior notice.

Paid subscriptions are billed monthly or annually in advance as specified at the time of purchase. By subscribing, you authorise us to charge your payment method on the billing cycle you select.

Prices are shown in Euros (EUR) inclusive of applicable Dutch VAT (BTW) where required. We reserve the right to change pricing with 30 days' written notice to existing subscribers.

Subscriptions renew automatically unless cancelled before the renewal date. Cancellations take effect at the end of the current billing period — no partial refunds are issued for the remaining period unless required by Dutch consumer law (Burgerlijk Wetboek 7:47 e.v.).

Payments are processed by Stripe Inc. Your payment information is subject to Stripe's terms and privacy policy.

A free tier is available with limited features as described on the pricing page. We reserve the right to modify or discontinue the free tier at any time with 30 days' notice to existing free users.

Trial periods, where offered, convert automatically to paid subscriptions at the end of the trial unless cancelled beforehand.

Eleviq and its licensors retain all intellectual property rights in the Service, including all software, design, trademarks, and documentation. These Terms do not grant you any ownership rights in the Service.

You retain ownership of all content you create, upload, or input into the Service ("User Content"), including your BusinessProfile data, conversation history, and files. You grant Eleviq a limited, non-exclusive licence to process and store User Content solely to provide the Service to you.

AI-generated outputs produced by the Service using your User Content are owned by you, subject to any restrictions imposed by the underlying AI provider (Anthropic).

We treat your BusinessProfile, Decisions Log, and conversation data as confidential. We will not share this information with third parties except as set out in our Privacy Policy or as required by law.

If you use Eleviq Agency Services, any information you share with us as part of that engagement is treated as confidential and will not be shared with competitors or disclosed publicly without your consent.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by Dutch law. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate, complete, or suitable for your specific purpose.

AI-generated content is not professional advice. It does not constitute legal, financial, medical, or other professional advice. You are responsible for independently verifying any AI output before relying on it for business decisions.

To the maximum extent permitted by applicable law, Eleviq's total liability to you for any claim arising out of or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of profits, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under Dutch law.

You agree to indemnify and hold harmless Eleviq, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

These Terms are governed by and construed in accordance with Dutch law (Nederlands recht). The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands, without prejudice to your rights as a consumer under applicable EU law.

We encourage you to contact us first at legal@eleviq.nl to resolve any dispute informally before initiating legal proceedings.

Eleviq Agency retainer services are governed by separate service agreements signed with each client. In the event of any conflict between those agreements and these Terms, the service agreement takes precedence for Agency Services.

We may modify these Terms at any time. Material changes will be communicated by email and via a notice on the website at least 30 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

If you do not accept the revised Terms, you must stop using the Service and may request account deletion per our Privacy Policy.
